1. Acceptance of Terms

By accessing and using the Nira Health platform and services, you (the "User") agree to be bound by these Terms and Conditions. If you do not agree with any part of these Terms, you may not use the platform. We may update these Terms at any time, and continued use of the platform constitutes acceptance of any changes.

2. Scope of Services

Nira Health provides mental health and wellness recommendations using data-driven insights, including artificial intelligence (AI). Our recommendations supplement mental health management but do not replace professional medical advice or treatment provided by your healthcare team.

3. Privacy and Data Collection

We prioritize data security and privacy. Our Privacy Policy outlines how we collect, use, and protect your information. By using Nira Health, you consent to data collection as outlined in our Privacy Policy.

4. AI-Assisted Recommendations

Nira Health may use AI algorithms to assist in providing mental health and wellness recommendations. By using the platform, you acknowledge the following:

• AI recommendations are based on aggregated data patterns and are supplemental in nature.
• AI outputs are subject to the limitations of available data and algorithms, and no AI-generated recommendation should replace the independent judgment of a qualified professional.
• Nira Health disclaims any liability for outcomes based on AI recommendations, and the User assumes all responsibility for decisions based on these insights.

5. Parental & Telehealth Consent for Minor Patients

If you enroll a minor (under the age of 18) in Nira Health services, you represent and warrant that you are the child's parent or legal guardian and have the legal authority to consent to healthcare and telehealth services on the child's behalf.

By agreeing to these Terms, you authorize Nira Health to provide services to your child and acknowledge that you have reviewed and agree to our Privacy Policy and Patient Rights. Services are delivered primarily through secure telehealth technologies, which may involve electronic communication and transmission of health information and may have limitations compared to in-person care.

Nira Health does not provide emergency or crisis services. If your child is experiencing a medical or mental health emergency, call 911, contact the Suicide and Crisis Lifeline at 988, or go to the nearest emergency department.

You agree to be financially responsible for all services provided to your child, including fees not covered by insurance. By enrolling a child and typing your name during registration, you affirm that the information provided is accurate and that you are authorized to consent on behalf of the minor patient.

6. User Responsibilities

Users agree to the following:

• Accurate Information: Provide accurate and truthful information when interacting with the platform. Incorrect or incomplete information may impact the quality and applicability of recommendations.
• No Misuse of Platform: Users shall not use the platform in any unlawful manner, including but not limited to unauthorized access to the platform, misuse of AI-based outputs, or other fraudulent activities.
• Consultation Requirement: Users must consult qualified healthcare professionals for health-related decisions. Nira Health's insights are intended to supplement, not replace, professional consultations.

7. Limitations of Liability

To the fullest extent permitted by law:

• General Disclaimer: Nira Health makes no representations or warranties about the accuracy, completeness, or applicability of the recommendations provided on the platform. All services are provided "as is," without any express or implied warranties.
• No Liability for Medical Outcomes: Nira Health shall not be liable for any injury, loss, or damages resulting from your reliance on the platform's recommendations, including but not limited to AI-assisted insights.
• No Liability for Third-Party Services: Nira Health may collaborate with third parties to facilitate additional services or referrals. Nira Health assumes no responsibility for services or recommendations provided by third parties.
• Data Security: Nira Health utilizes data protection measures to secure user information but cannot guarantee complete security. Users assume responsibility for risks associated with transmitting data over the internet.

8. State-Specific Disclaimers

Certain states have specific consumer protection laws that may supplement these Terms:

• California: Under the California Consumer Privacy Act (CCPA), California residents have rights concerning their data, which are outlined in Nira Health's Privacy Practices Policy. Nira Health does not disclose sensitive health data without user consent, except as required by law.
• New York: In compliance with New York's mental health data laws, Nira Health limits sharing of personal health data and follows strict guidelines for third-party data interactions.
• Texas: Texas users may request information about data practices and privacy protections under the Texas Medical Records Privacy Act.

9. User Data and Consent

By using Nira Health, Users consent to data collection and processing as outlined in our Privacy Policy. Users may revoke consent at any time, but prior data use will not be affected.

10. Data Retention and Deletion

User data will be retained only as long as necessary for operational purposes, compliance with legal obligations, and protection of legitimate business interests. Requests for data deletion may be submitted to info@nira-health.com. Nira Health may retain certain data if legally required or if necessary to protect its interests.

11. Intellectual Property

All content on the Nira Health platform, including text, graphics, and AI tools, is the intellectual property of Nira Health. Users may not reproduce, modify, distribute, or reverse-engineer platform content without permission.

12. Third-Party Services and External Links

Nira Health may provide links to third-party websites or services as a convenience to users. Nira Health does not endorse and is not responsible for any content, advertising, products, or other materials on these third-party sites. Any interactions or transactions with third parties are solely between the User and the third party.

13. Termination of Services

Nira Health reserves the right to terminate or suspend User access to the platform, without notice, if the User violates these Terms, engages in inappropriate conduct, or uses the platform for unlawful activities. Nira Health may also terminate services for technical, legal, or business reasons.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the state in which Nira Health is headquartered, without regard to conflict of law principles. Any disputes will be resolved in the state or federal courts located within that jurisdiction.

15. Dispute Resolution

Users agree to attempt resolution of any disputes through negotiation before pursuing legal remedies. In the event that disputes cannot be resolved through negotiation, Users and Nira Health agree to resolve disputes through mediation or arbitration, as appropriate under applicable state laws.

16. Amendments to Terms

Nira Health reserves the right to modify these Terms at any time. Changes will take effect upon posting to the platform. Users are encouraged to review these Terms periodically to stay informed about updates. Continued use of the platform after any modification constitutes acceptance of the revised Terms.
